This Terms of Reference (ToR) sets out the membership structure for the EIRIS Conflict Risk Network (the “Network” or “CRN”). It outlines the Network’s mission, the benefits available to members and the general conditions of membership. This document is intended to provide clarity and transparency for all incoming and existing members.
1. About the Network
The EIRIS Conflict Risk Network is a knowledge-building hub that brings investors and relevant stakeholders together to explore conflict-related investment risks and promote responsible business conduct. By joining CRN, the Member gains access to exclusive member-only events, training sessions, and collaborative initiatives. It fosters peer to peer learning and provides tailored support for member initiatives that advance conflict sensitive investing. It does not bind members to take or refrain from any particular investment decision and is not any form of collusive agreement. Members remain fully responsible for their own independent investment decision making and their compliance with all applicable law and regulations. Members must not share details of their own trading intentions. When joining, members accept that EIRIS CRN and its parent organisation, the EIRIS Foundation, are not liable for any losses arising from the use of its materials or participation in the Network.
2. Membership Responsibilities
The Members are expected to:
Engage Respectfully: Participate, where feasible, in dialogues, events, and collaborative investor activities coordinated by CRN in a respectful manner.
Adhere to Confidentiality: Maintain the confidentiality of any non-public information shared within the network or during member-only engagements and respect any principles set forth for individual activities (for example where the Chatham House rule applies to the sharing of views expressed).
Respect Collaboration Protocols: Coordinate any public references to CRN activities with the CRN Secretariat to ensure consistency.
3. Intellectual Property and use of outputs
EIRIS CRN retains intellectual property rights over all network materials. Members are welcome to use these internally within their organisations; however, any wider distribution of materials or output not intended to be shared publicly is subject to the written approval of the CRN Secretariat.
4. Amendments,Fees and Membership Termination
These Terms of Reference and fee levels may be updated occasionally. Members will be given at least 90 days’ notice of any significant changes. Membership automatically renews each year unless either party submits a written termination notice 30 days in advance. EIRIS CRN retains the right to decline or terminate memberships that create reputational risk, for non-payment of subscriptions, or for breach of these Terms of Reference. The obligation to maintain confidentiality and respect CRN intellectual property shall survive the termination of a member’s participation in EIRIS CRN. Former members remain bound by their confidentiality and intellectual property obligations in respect of any information received during their membership.
5. Agreement to these terms
By paying their annual subscription, the member confirms that it has understood and agrees to abide by the terms set out in this document. This Agreement will be governed by and construed in accordance with the laws of the State of New York
